O Portal Pebay (www.pebay.info) (“Portal”) é de propriedade e mantido pela PEBAY INFORMAÇÃO DE INVESTIMENTOS EIRELI, inscrita no CNPJ sob o nº 18.332.839/0001-92 (“Pebay”).

PEDIMOS A VOCÊ QUE LEIA ATENTAMENTE ESTES TERMOS DE USO. AO NAVEGAR POR ESTE PORTAL, VOCÊ EXPRESSAMENTE ACEITA E CONCORDA COM TODAS AS DISPOSIÇÕES DESTES TERMOS DE USO. NOTE QUE A PEBAY PODERÁ, A QUALQUER TEMPO E A SEU EXCLUSIVO CRITÉRIO, ALTERAR AS CONDIÇÕES PREVISTAS NESTES TERMOS DE USO. CASO VOCÊ NÃO CONCORDE COM OS TERMOS DE USO, VOCÊ NÃO DEVE USAR OS SITES E APLICATIVOS DA PEBAY.

1. Por meio deste Portal, a Pebay disponibiliza o acesso a uma plataforma privada (www.pebay.info) (“Plataforma”), para acompanhamento de fundos e transações de private equity no Brasil, com ênfase no desempenho auditado dos investimentos (fundos e transações). O acesso à Plataforma é oneroso. Para que você possa acessá-la, é necessário que você se cadastre na Plataforma, criando uma conta (“Conta”), e obedeça a todas as obrigações previstas nestes Termos de Uso e no Contrato com o cliente.
2. Após a assinatura do referido Contrato, a Pebay encaminhará em até 2 (dois) dias úteis as instruções para o seu cadastro na Plataforma Pebay e criação de uma conta junto à Plataforma (“Conta”). Referido cadastro lhe possibilitará acessar o Conteúdo da Plataforma.
3. Você declara e garante que (i) todas as informações prestadas para o Cadastro serão verdadeiras, exatas, atuais e completas e serão mantidas em tais condições durante sua permanência como usuário da Plataforma e (ii) não permitirá que terceiros utilizem a sua conta, sob pena de se responsabilizar integralmente pelas atividades desenvolvidas através desta, inclusive por eventuais danos causado à Pebay ou a terceiros. Você é o único e exclusivo responsável pela guarda e sigilo das informações e senha de acesso à sua Conta. Em caso de perda de dados, violação de segurança ou uso não autorizado de sua Conta, você deverá notificar a Pebay imediatamente, através dos meios disponíveis no Portal.
4. Você pode conferir os Dados Pessoais coletados e como são usados em nossa Política de Privacidade. Além disso, alguns serviços, sites e aplicativos da Pebay podem ter funcionalidades específicas e termos e

condições próprios ou adicionais para a sua utilização. Nesse caso, os termos adicionais estarão disponíveis em referidos serviços, sites e aplicativos e serão aplicáveis se você os usar.

5. Você não será proprietário ou dono de qualquer conteúdo disponível neste Portal ou na Plataforma, a qualquer tempo, mesmo após a criação de uma Conta.
6. A Pebay não garante que o acesso ao site seja livre de erros ou problemas, decorrentes de casos fortuitos, internos ou externos, casos de força maior ou por

outros casos não sujeitos a controle da Pebay, tais como oriundos dos provedores de acesso à internet, prestadores de serviços de telefonia e de energia elétrica, ou de quaisquer outros.

Utilização do Portal

7. Durante o acesso ao Portal, você concorda e se compromete a:

(a) não explorar ou utilizar comercialmente, por qualquer meio, qualquer parte ou conteúdo do Portal. Para os fins do presente, exploração ou utilização com finalidade comercial inclui, mas não se limita, a venda ou disponibilização, mediante recebimento de retribuição ou benefício, de acesso ao Portal ou ao seu conteúdo;

(b) não reivindicar ou buscar obter registro ou proteção de quaisquer direitos de propriedade intelectual ou direitos autorais sobre o Portal ou seu conteúdo ;

(c) não utilizar qualquer sistema automatizado (incluindo “robôs”, “spiders” ou “offline readers”) que permita o acesso ao Portal e/ou download ou cópia de qualquer forma de conteúdo do Portal ou da Plataforma de forma automática ou com quantidade e velocidade superiores ao que seria possível se fosse feito por pessoas naturais;

(d) não realizar o download de qualquer conteúdo, a menos que tal opção esteja regularmente disponível e liberada no Portal;

(e) não utilizar qualquer elemento ou conteúdo do Portal em associação com materiais, conteúdos ou informações: (i) que sejam contrárias às leis; (ii) que contenham qualquer material que viole direitos de terceiros; ou (iii) que contenham material com caráter difamatório, discriminatório, ilegal, violento,ameaçador, abusivo, vexatório, prejudicial, com expressões de ódio contra pessoas ou grupos, pornografia de qualquer espécie, explícita ou implícita, que possa ser danoso a menores, que contenha insultos ou ameaças religiosas ou raciais;

(f) cumprir com todas as leis, normas e regulamentos aplicáveis, no Brasil ou no exterior.

8. A Pebay poderá, a qualquer tempo e a seu exclusivo critério, alterar as condições previstas nestes Termos de Uso. Assim, é recomendável que você acesse regularmente estes Termos de Uso, para verificar eventuais alterações implementadas, na medida em que por meio do acesso ao Portal, você automaticamente manifesta a aceitação de versões atualizadas e/ou revisadas destes Termos de Uso, posteriormente enviadas a você ou publicadas no Portal.

Propriedade Intelectual

9. É proibida a utilização, cópia, reprodução ou uso de qualquer conteúdo deste Portal sem a prévia e expressa autorização da Pebay.
10. Você, neste ato, entende, aceita e reconhece que a Pebay é a única e exclusiva titular de todos os direitos sobre o Portal, incluindo os direitos sobre as marcas “Private Equity Bay” e “Pebay”. O acesso e utilização do Portal por você jamais conferirá quaisquer direitos de propriedade sobre o Portal ou sobre a Plataforma a você, incluindo, mas não se limitando a, direitos sobre os códigos fonte, marcas, logotipos, nome comercial, nome de domínio, disposição e fruição do layout, banco de dados ou qualquer outro conteúdo ou propriedade do Portal.

Isenção de Responsabilidade

11. Caso você identifique no Portal qualquer conteúdo que seja ofensivo, ou que viole direitos de terceiros, você poderá apresentar denúncia por meio do email [email protected] para que a Pebay possa avaliar as informações e, se aplicável, adotar eventuais medidas para remoção do conteúdo.
12. A Pebay não será responsável por qualquer dano ou prejuízo eventualmente causado a você em função de software, vírus ou qualquer outra espécie de programa acessado em decorrência da utilização ou acesso ao Portal. A responsabilidade pela instalação e utilização de dispositivos de

segurança e antivírus é integralmente sua, ficando a Pebay isenta de qualquer responsabilidade neste sentido.

Legislação e Foro

14. Estes Termos de Uso serão regidos, exclusivamente, pelas leis brasileiras e suas controvérsias deverão ser solucionadas entre você e a Pebay no foro da Comarca da Cidade de São Paulo, Estado de São Paulo, com expressa renúncia a qualquer outro, por mais privilegiado que seja.

WE ASK YOU TO CAREFULLY READ THE FOLLOWING TERMS OF USE. BY BROWSING THIS PORTAL, YOU EXPRESSLY ACCEPT AND AGREE TO ALL THE PROVISIONS AND TERMS HEREUNDER. PLEASE NOTE THAT PEBAY MAY, AT ANY TIME AND AT ITS EXCLUSIVE DISCRETION, CHANGE THE CONDITIONS SET FORTH IN THESE TERMS OF USE. IF YOU DO NOT AGREE TO THE TERMS OF USE, YOU MUST NOT USE PEBAY’S SITES AND APPLICATIONS.

1. By means of this Portal, Pebay provides access to a private platform (www.pebay.info) (“Platform”), for purposes of the monitoring of private equity funds and transactions within Brazilian territory, with an emphasis on audited performance of the investment (funds and transactions). Access to the Platform is subject to charge. In order for you to access it, you are required to abide by and comply with all obligations under the Pebay Agreement, which governs the terms and conditions for the access to the Platform.
2. After the execution of said Agreement, Pebay shall, within the subsequent two (2) business days, forward the instructions for purposes of both the registering of the signatory hereof on Pebay Platform as the opening of an account at the Platform (“Account”). This registration will allow you to access the Platform Content.
3. By signing this instrument, you hereby represent and warrant that (i) all information provided to the Registry are true, accurate, current and complete and shall be kept under such conditions throughout your membership as a user of the Platform and (ii) you undertake to refrain from allowing third parties to use your account, under penalty of being fully responsible for the activities developed through such account, including for any damages caused to Pebay or third parties. You are the sole and exclusive holder of the safekeeping of the information and access password to your Account. In case of loss of data, breach of security or unauthorized use of your Account, you are hereby required to immediately notify Pebay, by the means available on the Portal.
4. Privacy Policy and additional terms. You can find further information on how Personal Data is collected and how it is used in our Privacy Policy. In addition, some Pebay services, websites and applications may have specific and/or additional terms and conditions for their use. In that case, such terms will be available for your review and consultation on such services, websites and applications and will apply if you use them.
5. You will not own or be the title holder to any content available on this Portal or on the Platform, at any time whatsoever, even after the opening of an Account.
6. Pebay does not ensure that the access to the site is free from errors/flaws or problems arising from acts of God, internal or external, events of force majeure or other cases not subject to Pebay’s control, such as from access providers, internet service providers, telephony and electric utility providers, or any other.
7. Using the Portal. During the access to the Portal, you agree and henceforward undertake:

(a) not to exploit or commercially use, in any way, any part or content of the Portal. For the purposes hereof, exploitation or commercial use includes, but is not limited to, the sale or disposal, upon receipt of payment or benefit, of access to the Portal or the content thereof;

(b) not to claim or seek to register or protect any intellectual property rights or copyrights concerning the Portal or the content thereof;

(c) not to use any automated system (including “robots”, “spiders” or “offline readers”) that allows access to the Portal and / or download or copy of the Portal or Platform content automatically or with quantity and speed higher than it would be possible if carried out by natural persons;

(d) not to download any content, unless such option is regularly available and released on the Portal;

(e) not use any element or content of the Portal in association with materials, content or information: (i) that are contrary to applicable laws; (Ii) which contains any material that violates any third parties’ rights; or (iii) which contains material that is defamatory, discriminatory, illegal, violent, threatening, abusive, harassing, harmful, hateful against persons or groups, pornography of any kind, whether explicit or implicit, harmful to minors (under-age individuals), which contains religious or racial insults or threats;

(f) to abide by and comply with all applicable laws, rules and regulations, in Brazil or abroad.

8. Pebay may, at any time and at its sole discretion, change the terms set forth in these Terms of Use. It is therefore recommended that you periodically access these Terms of Use in order to check for any changes that may be implemented, in such a manner that, by means of the access to the Portal, you automatically express your acceptance to the updated and/or revised versions of these Terms of Use, subsequently sent to you or published on the Portal.
9. Intellectual property. The use, copy or reproduction of any content of this Portal without the prior and express authorization of Pebay shall be strictly prohibited.

10.You hereby understand, accept and acknowledge that Pebay is the sole and exclusive owner of all rights to the Portal, including the rights to the “Private Equity Bay” and “Pebay” trademarks. Your access to and use of the Portal shall in no event grant any proprietary rights to the Portal or the Platform on your behalf, including, but not limited to, rights over source codes, trademarks, logos, trade names, domain names, and enjoyment of the layout, database or any other content or property of the Portal.

11. If you identify in the Portal any content that is offensive, or that violates any third parties’ rights, you may submit a complaint by emailing [email protected] so that Pebay may evaluate the information and, if applicable, adopt any applicable measures aiming at removing such content.

12.Pebay shall not be liable for any damages or losses caused to you by virtue of a software, viruses or any other kind of program accessed as a result of the use or access to the Portal. The responsibility for the installation and use of security and anti-virus devices is entirely yours, reason why Pebay shall be exempted from any and all liability in this regard.

13.Contact. In case of any doubt, suggestion or comment concerning Pebay, the Portal or the Platform, please contact Pebay at [email protected].

14.Legislation and Venue. These Terms of Use shall be exclusively governed by Brazilian laws and the disputes arising therefrom shall be settled between you and Pebay in the judicial district of the City of São Paulo, State of São Paulo, with the express waiver of any other, however privileged it may be.
